Authorized Reseller Policy

Effective: January 1, 2026

Nudora.com Inc. (the “Brand Owner”) hereby adopts this Authorized Reseller Policy (this “Policy”) and requires that each person, firm, or entity (each, a “Reseller”) that purchases Nudora products (the “Products”) for resale or other distribution agree to comply with this Policy.

Any Reseller that fails to comply with this Policy will be deemed an unauthorized reseller of the Products and shall have no right to:
(i) sell the Products,
(ii) use Brand Owner’s intellectual property, including any trademarks or copyrights, or
(iii) offer Brand Owner’s consumer warranty applicable to any of the Products.

• Applicability. This Policy applies to all resales of the Products. Regardless of how the Products were acquired—either directly from the Brand Owner, through an authorized distributor, or through any other procurement method—Reseller must comply with the terms of this Policy.

• Sales to End Users Only. Unless otherwise agreed to in writing by the Brand Owner, Reseller may only purchase Products for resale to consumers and end-user customers. Reseller may not resell Products to other resellers, distributors, wholesalers, or for further distribution.

• No Sales on Online Marketplaces. Without prior written consent from the Brand Owner, Reseller may not advertise or sell the Products on any online marketplace, including but not limited to Amazon, Walmart Marketplace, eBay, TikTok Shop, or any third-party fulfillment or drop-ship platform. Reseller may sell Products on its own branded website.

• Handling and Storage. Reseller agrees to handle and store the Products in a safe and compliant manner, including appropriate climate control and adherence to Nudora’s storage and handling guidelines. Reseller shall maintain product integrity, expiration compliance, and lot traceability.

• Product Packaging and Display. Reseller shall sell Products only in their original packaging. Relabeling, repackaging (including separating or bundling Products), or altering packaging is strictly prohibited. Tampering with any serial number, UPC, batch or lot code, SKU, or identifying information is prohibited. Reseller shall not market non-Nudora products in a manner that implies association or endorsement by Nudora.

• Trademarks and Intellectual Property. Authorized Resellers are granted a limited, non-exclusive, non-transferable, revocable license to use Nudora trademarks solely in connection with the sale of Products. Misuse or non-compliance will result in immediate revocation of this license.

• Diversion and Unauthorized Distribution. Reseller shall not engage in diversion, transshipping, or unauthorized export of Products. Products may not be sold outside approved geographic markets or to unauthorized sellers.

• Locations and Reporting. Reseller agrees to maintain accurate records of inventory and storage locations. Upon request, Reseller shall provide Brand Owner with inventory reports and access to verify compliance.

• Product Inspection. Upon receipt, Reseller must inspect Products for damage, defects, or tampering. Any issues must be reported promptly.

• Recall and Consumer Safety. Reseller agrees to cooperate fully with any product recall or consumer safety communication.

• Customer Service. Reseller shall maintain appropriate customer service processes to manage complaints, returns, and inquiries.

• Product Loss and Theft. Reseller must promptly report any significant loss or theft.

• Reporting Unauthorized Sellers. Reseller must notify Nudora of any suspected unauthorized or gray-market activity.

• Warranty Support. Reseller may extend Nudora’s standard warranty but may not modify or misrepresent it.

• Global Applicability. This Policy applies to all domestic and international markets unless otherwise approved in writing.

• Other Information and Compliance. Reseller must provide information or documentation reasonably requested by Nudora to ensure compliance.

RESELLERS WHO FAIL TO COMPLY WITH THE FOREGOING TERMS FORFEIT THE RIGHT TO SELL THE PRODUCTS.
