Authorize Reseller Policy
Effective: January 1, 2026
Nudora.com Inc. (the “Brand Owner”) hereby adopts this Authorized Reseller Policy (this “Policy”) and requires that each person, firm, or entity (each, a “Reseller”) that purchases Nudora products (the “Products”) for resale or other distribution agree to comply with this Policy.
Any Reseller that fails to comply with this Policy will be deemed an unauthorized reseller of the Products and shall have no right to:
(i) sell the Products,
(ii) use Brand Owner’s intellectual property, including any trademarks or copyrights, or
(iii) offer Brand Owner’s consumer warranty applicable to any of the Products.
• Applicability. This Policy applies to all resales of the Products. Regardless of how the Products were acquired—either directly from the Brand Owner, through an authorized distributor, or through any other procurement method—Reseller must comply with the terms of this Policy.
• Sales to End Users and Authorized Distribution. Authorized Resellers may purchase Nudora products for resale to consumers through physical retail locations and their own branded websites.
Distributors and wholesalers authorized in writing by Nudora.com Inc. may purchase, distribute, and resell Nudora products to legitimate retail businesses, independent pharmacies, health and wellness stores, medical clinics, specialty retailers, and third-party resellers.
Once authorized by Nudora, distributors and wholesalers may independently approve and supply third-party retail resellers without obtaining separate written approval from Nudora for each account, provided those resellers comply with Nudora’s Authorized Reseller Policy and applicable MAP Pricing Policy.
Authorized distributors are responsible for communicating Nudora’s policies to their retail customers and requiring compliance with applicable resale restrictions.
Further wholesale distribution to other distributors or wholesalers requires prior written approval from Nudora.
• No Sales on Online Marketplaces. Authorized distributors and resellers may sell Nudora products through physical retail locations and their own branded websites. Sales on third-party marketplaces, including Amazon, Walmart Marketplace, eBay, TikTok Shop, and similar platforms, require prior written authorization from Nudora.com Inc.
Nudora may expressly delegate marketplace approval authority to an authorized distributor through a separate written agreement. Unless such authority is granted, distributors may not independently authorize third-party marketplace sales.
The use of third-party fulfillment services does not, by itself, constitute an unauthorized marketplace sale.
• Handling and Storage. Reseller agrees to handle and store the Products in a safe and compliant manner, including appropriate climate control and adherence to Nudora’s storage and handling guidelines. Reseller shall maintain product integrity, expiration compliance, and lot traceability.
• Product Packaging and Display. Resellers shall sell Nudora products only in their original consumer packaging. Relabeling, altering, or tampering with product packaging, seals, UPCs, batch numbers, lot codes, or other identifying information is prohibited. Authorized distributors may open master shipping cases and sell or distribute individually packaged Nudora products to retail customers, provided each product remains in its original, unopened consumer packaging. Resellers may not market non-Nudora products in a manner that implies association with or endorsement by Nudora.
• Trademarks and Intellectual Property. Authorized Resellers are granted a limited, non-exclusive, non-transferable, revocable license to use Nudora trademarks solely in connection with the sale of Products. Misuse or non-compliance will result in immediate revocation of this license.
• Diversion and Unauthorized Distribution. Resellers and distributors shall not engage in unauthorized diversion, transshipping, or export of Nudora products. Authorized distributors may supply legitimate third-party retail resellers within their approved distribution territories, subject to this Policy. Sales outside approved geographic markets or to unauthorized distribution channels require prior written approval from Nudora.
• Locations and Reporting. Reseller agrees to maintain accurate records of inventory and storage locations. Upon request, Reseller shall provide Brand Owner with inventory reports and access to verify compliance.
• Product Inspection. Upon receipt, Reseller must inspect Products for damage, defects, or tampering. Any issues must be reported promptly.
• Recall and Consumer Safety. Reseller agrees to cooperate fully with any product recall or consumer safety communication.
• Customer Service. Reseller shall maintain appropriate customer service processes to manage complaints, returns, and inquiries.
• Product Loss and Theft. Reseller must promptly report any significant loss or theft.
• Reporting Unauthorized Sellers. Reseller must notify Nudora of any suspected unauthorized or gray-market activity.
• Warranty Support. Reseller may extend Nudora’s standard warranty but may not modify or misrepresent it.
• Global Applicability. This Policy applies to all domestic and international markets unless otherwise approved in writing.
• Other Information and Compliance. Reseller must provide information or documentation reasonably requested by Nudora to ensure compliance.
· Unauthorized Sales & Marketplace Enforcement
Nudora products are intended for sale only through authorized channels approved by Nudora.
- Nudora does not authorize the resale of its products on third-party marketplaces (including but not limited to eBay, Amazon, Walmart, TikTok Shop, or similar platforms) without prior written consent.
· Products provided as free samples, influencer gifts, or promotional items specifically designated as not for resale may not be resold. This restriction does not apply to authorized wholesale inventory, introductory discounts, or promotional purchases intended for legitimate retail resale.
- Nudora does not guarantee the authenticity, quality, or safety of products purchased from unauthorized sellers. All warranties, guarantees, and support are void for such purchases.
- Warranty coverage applies only to products purchased through authorized Nudora channels.
Nudora reserves the right to take enforcement action against any individual or business that:
- Misrepresents itself as an authorized seller
- Uses Nudora trademarks, branding, images, or product listings without permission
- Alters, repackages, diverts, or improperly distributes Nudora products
- Engages in unauthorized resale in violation of this Policy
Nudora actively monitors unauthorized sales channels and will pursue appropriate action to protect its brand, customers, and authorized partners.
RESELLERS WHO FAIL TO COMPLY WITH THE FOREGOING TERMS FORFEIT THE RIGHT TO SELL THE PRODUCTS.
